2. Description of Service

TheNGOMaster provides a cloud-based SaaS platform designed to help nonprofit organizations manage their operations, including but not limited to:

  • Donor management and relationship tracking
  • Grant application and tracking systems
  • Program and project management tools
  • Financial reporting and accounting features
  • Website management capabilities
  • Reporting and analytics tools

2.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription and Payment Terms

4.1 Subscription Plans

TheNGOMaster offers various subscription plans with different features and pricing. You agree to:

  • Pay all fees associated with your selected subscription plan
  • Pay fees in advance for the billing period selected (monthly or annual)
  • Understand that subscription fees are non-refundable except as specified in our Refund & Cancellation Policy

4.2 Billing and Renewal

Unless you cancel your subscription, it will automatically renew at the end of each billing period. You authorize us to charge your payment method for renewal fees. You may cancel your subscription at any time through your account settings.

4.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will provide notice of significant price changes via email at least 30 days in advance.

4.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or government charges applicable to your use of the Service.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service to:

You agree NOT to:

  • Host, store, and process Your Content as necessary to provide the Service

  • Create anonymized, aggregated data for analytics and research purposes

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THENGOMASTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Loss of goodwill or reputation

10.3 Maximum Liability

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless TheNGOMaster, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content or data
  • Your breach of any applicable laws or regulations

12. Termination

12.1 Termination by You

You may terminate your account and subscription at any time by canceling through your account settings or contacting our support team. Termination will be effective at the end of your current billing period.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you:

  • Violate these Terms or our policies
  • Engage in fraudulent or illegal activities
  • Fail to pay subscription fees
  • Use the Service in a manner that threatens the security or integrity of our systems

12.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service will immediately cease
  • You will have 30 days to export your data
  • After 30 days, your data may be permanently deleted
  • All outstanding fees remain due and payable
  • Provisions that by their nature should survive termination will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TheNGOMaster operates, without regard to its conflict of law provisions.

13.2 Dispute Resolution Process

In the event of any dispute arising from or relating to these Terms or the Service, the parties agree to:

  1. First attempt to resolve the dispute through good faith negotiation
  2. If negotiation fails, attempt mediation through a mutually agreed mediator
  3. If mediation fails, submit to binding arbitration in accordance with applicable arbitration rules

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and TheNGOMaster regarding the Service.

14.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.
